Terms of Service

1. Acceptance of Terms

By accessing or using Cheqpoint, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service. These terms apply to all users, including workspace owners, administrators, reviewers, and viewers.

2. Description of Service

Cheqpoint provides a human-in-the-loop approval platform for AI agents and automations. The service allows organisations to intercept, review, and audit consequential actions taken by AI agents before they execute. Usage is metered by the number of approval requests processed per month, per your chosen plan tier.

3. Your Account

You are responsible for maintaining the confidentiality of your Connection Keys and login credentials. You must notify us immediately at security@cheqpoint.dev of any unauthorised access to your account. Cheqpoint is not liable for any loss or damage arising from your failure to protect your credentials. You may not share accounts or Connection Keys across separate organisations.

4. Acceptable Use

You may not use Cheqpoint to: violate any applicable laws or regulations; transmit personal data without proper GDPR or equivalent legal consent; reverse engineer, decompile, or extract source code from the platform; process or facilitate illegal actions through the approval workflow; send spam, malware, or malicious payloads through the API; or attempt to gain unauthorised access to other workspaces or system components.

5. Billing and Payments

Paid plans are billed monthly or annually via Stripe in GBP, exclusive of applicable VAT. Annual plans are billed upfront. Refunds are provided at our discretion for annual plans within 14 days of renewal if you have not exceeded your request limit. Downgrades take effect at the start of your next billing cycle. We will provide 30 days notice of any price changes.

6. Data and Privacy

Your use of the service is also governed by our Privacy Policy, available at /privacy. You retain ownership of all data you submit through the platform. We process it solely to provide the service as described. You may export or delete your data at any time from Settings - Danger Zone.

7. Service Availability

We aim for high availability and target 99.9% uptime for paid plans. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated via the status page at /status. Enterprise plans include contractual SLA guarantees - contact us for details.

8. Intellectual Property

The Cheqpoint platform, brand, and all associated software are owned by Cheqpoint Ltd. The Node.js and Python SDKs are published under the MIT License and may be used, modified, and distributed freely. Nothing in these terms transfers any intellectual property rights to you.

9. Limitation of Liability

Cheqpoint is provided on an as-is basis. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the amount you paid in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to Cheqpoint for violations of these terms, non-payment, or any conduct we determine to be harmful to the platform or other users. You can cancel your subscription at any time from Settings - Danger Zone. Upon termination, your right to access the service ceases immediately.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. We will notify workspace owners by email of any material changes at least 14 days before they take effect. Continued use of the service after the effective date of changes constitutes acceptance of the updated terms.
